Aufgrund all dieser Überlegungen und in Übereinstimmung mit dem Beschwerdeführer BdB, der FHH und der HLB gelangt die Kommission zu dem Schluss, dass eine angemessene Vergütung für die in die Kapitalrücklage und zur Haftungsunterlegung bis 1997 benutzten bzw. danach benutzbaren Beträge 6,57 % (nach Unternehmenssteuern) betragen würde, nämlich 10,19 % normale Rendite für das Investment abzüglich 3,62 % wegen des Finanzierungsaufwandes, welcher der HLB wegen der fehlenden Liquidität des übertragenen Vermögens entstand. In view of the foregoing and in agreement with the complainant BdB, FHH and HLB, the Commission comes to the conclusion that an appropriate remuneration for the amounts that were transferred to the capital reserve and that were used until 1997 and could be used subsequently as cover would be 6,57 % (after company taxes), i.e. normal return of 10,19 % on the investment less 3,62 % for the financing costs which HLB incurred on account of the lack of liquidity of the assets transferred.

Aufgrund der genannten Gesichtspunkte, insbesondere einer Analyse des Risikos, das ein Investor mit der vorliegend zu beurteilenden Transaktion eingegangen ist, kommt die Kommission zu dem Schluss, dass der Ausgangspunkt für die Bestimmung der angemessenen Vergütung für die Einbringung in die Kapitalrücklage der HLB zur Verfügung gestelltes Stammkapital ist. Given the above views, notably regarding an analysis of the risk incurred by an investor in carrying out the transaction at issue, the Commission concludes that the starting point for calculating the appropriate remuneration for the transfer to HLB's capital reserve is the amount of share capital made available.
